1. Scope

These Terms of Service (“Terms”) govern your use of websites, software, and services operated by Scepter Marketing, LLC (“Scepter,” “we,” “us,” “our”), including:
– Our website at sceptermarketingcom.kinsta.cloud and related pages;
– Our SaaS offerings (including our GHL SaaS);
– Our GHL Marketplace App;
– Any future software, tools, or sub-brands under Scepter.

2. Accounts & Eligibility

You must be at least 18 years old. You are responsible for your account credentials and any activity under your account. Notify us immediately of unauthorized use.

3. Orders, Subscriptions & Billing

Subscriptions auto-renew unless cancelled. Payment information is required for free trials; unless cancelled before the trial ends, billing begins automatically. Payments are processed by third-party providers (Stripe, PayPal, GHL). Non-payment may result in immediate suspension or termination.

4. Refunds & Cancellations

SaaS/App fees are non-refundable. You may cancel at any time; services remain active until the end of the current billing period. Agency services are governed by separate agreements (MSA/SOW).

5. Acceptable Use

You may not use our Services for spam, unlawful ads, infringing content, or attempts to disrupt systems. We may suspend or terminate accounts immediately for violations.

6. Client Responsibilities (Agency)

Agency services are governed by a separate MSA or SOW. Clients must provide timely access, approvals, and compliance with platform policies.

7. Intellectual Property

We retain ownership of our software, methods, and pre-existing materials. Upon full payment, clients receive rights to use final deliverables. SaaS/App usage is licensed, not sold.

8. Third-Party Dependencies

Our Services depend on third-party platforms (e.g., GHL, Google, Meta). We are not responsible for their outages, changes, or policies.

9. Publicity

With your consent, we may use your name, logo, and results in portfolios, proposals, or case studies. You can revoke consent at any time.

10. DMCA & Copyright Complaints

If you believe content hosted by us infringes your copyright, email support@sceptermarketing.com with the details required under 17 U.S.C. §512(c)(3).

11. Disclaimers

Services are provided “AS IS.” We disclaim all warranties to the fullest extent permitted by law.

12. Limitation of Liability

Our liability is capped at fees paid to Scepter during the three (3) months prior to the claim. We are not liable for indirect, incidental, or consequential damages.

13. Indemnification

You agree to indemnify and hold Scepter harmless from third-party claims related to your use, content, or breach of these Terms.

14. Termination

We may suspend or terminate accounts immediately for violations or non-payment. Notice may be given at our discretion but is not required.

15. Changes to Services & Pricing

We may change features, pricing, or discontinue services at any time. Changes apply to future billing cycles only.

16. Severability

If any part of these Terms is found invalid, the remaining sections still apply.

17. Governing Law & Arbitration

These Terms are governed by Michigan law. Disputes will be resolved by binding arbitration in Lansing, MI under AAA rules. Class actions are waived.

18. Entire Agreement

These Terms, our Privacy Policy, and any MSA/SOW constitute the entire agreement, superseding prior discussions.

Privacy Policy

We collect only the information needed to provide our services. We do not sell your personal data.

4. Sharing

We share data only with vendors, legal authorities if required, or during business transfers. We do not sell personal data.

5. Cookies & Ads

We retain personal data for 30 days after account closure/inactivity unless deletion is requested sooner. Some data may be retained longer for legal/accounting purposes.

We use reasonable safeguards, but no method of transmission or storage is 100% secure.

8. International Users

If you access our services from outside the U.S., your data will be processed in the U.S., which may have different data protection laws.

9. Children

We do not knowingly collect information from children under 13. If discovered, such data is deleted.

10. Business Transfers

If Scepter is merged, acquired, or sells assets, personal data may be transferred with notice.

11. Changes

We may update this Privacy Policy. Material changes will be posted with updated effective dates.
